These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client") and JB Sites, a web design and development studio operated by its owner ("JB Sites," "we," "us," or "our"), governing all services, projects, and interactions. By submitting a quote request, signing a project agreement, or making any payment to JB Sites, you agree to be fully bound by these Terms.
Section 01
Services Provided
JB Sites provides professional web design, web development, e-commerce development, landing page creation, site redesigns, search engine optimization, and related digital services ("Services"). The specific scope of Services for each project is defined in a written project proposal or quote ("Scope of Work") provided to the Client prior to commencement of work.
JB Sites reserves the right to decline any project request at its sole discretion, without obligation to provide a reason. Acceptance of a quote or deposit payment constitutes the Client's acceptance of the Scope of Work and these Terms.
Section 02
Payment Terms & Fees
All fees are stated in United States Dollars (USD) and are non-refundable except as expressly stated herein. The following payment structure applies to all projects:
- Deposit: A non-refundable deposit of 50% of the total project fee is due before any work begins. No work will commence until the deposit is received and cleared.
- Final Payment: The remaining 50% balance is due upon completion of the project and prior to delivery of final files or launch of the website.
- Milestone Payments: For projects exceeding $2,000, JB Sites may offer milestone-based payment schedules, which will be outlined in the Scope of Work.
- Rush Fees: Projects requiring delivery within 72 hours are subject to a rush fee of 25-50% of the total project fee, to be agreed upon in writing.
- Late Payments: Balances unpaid for more than 14 days after the due date will accrue interest at 1.5% per month. JB Sites reserves the right to suspend delivery or remove deployed work until payment is received.
Accepted payment methods include credit card, bank transfer (ACH/wire), and PayPal. JB Sites does not store credit card information and processes payments through industry-standard secure payment processors.
Section 03
Revisions & Change Orders
Each project tier includes a specified number of revision rounds as stated in the Scope of Work. A "revision" is defined as a set of changes communicated in a single round of feedback. Revisions must be submitted in writing (email or project messaging system) within 7 days of delivery of each milestone.
Changes that materially alter the original Scope of Work — including but not limited to additional pages, new features, redesign of completed sections, or changes to platform or technology — constitute a "Change Order" and will be quoted separately at JB Sites' then-current hourly rate of $75/hour or a fixed fee, to be agreed upon in writing before work proceeds.
Revisions requested after final delivery and client sign-off are billed at the standard hourly rate. JB Sites is not obligated to perform revisions more than 30 days after final project delivery.
Section 04
Timeline & Delays
JB Sites will provide estimated delivery timelines in the Scope of Work. These timelines are good-faith estimates, not guarantees. Timelines may be extended due to:
- Delayed provision of content, assets, feedback, or approvals by Client
- Scope changes or additions requested by Client
- Third-party dependencies outside JB Sites' control (hosting providers, domain registrars, third-party APIs)
- Force majeure events
If Client delays feedback or asset delivery by more than 14 days, JB Sites reserves the right to reschedule the project to the next available slot without penalty. If Client fails to respond for more than 30 days, the project may be terminated and the deposit forfeited.
JB Sites shall not be liable for any losses, lost profits, or damages arising from project delays caused by Client inaction or third-party delays.
Section 05
Intellectual Property & Ownership
Upon receipt of final payment in full, Client receives full ownership of the final, delivered website files and design assets created specifically for their project ("Deliverables"). This ownership transfer is conditional upon payment in full.
JB Sites retains ownership of all Deliverables until final payment is received. JB Sites also retains:
- The right to display the work in its portfolio, case studies, and marketing materials
- Ownership of all underlying code libraries, frameworks, and tools used in the project (e.g., proprietary templates, development utilities)
- Ownership of any work created during the project that is not part of the final agreed Deliverables
Client represents and warrants that all content, images, logos, and materials provided to JB Sites are owned by Client or Client has full rights to use them. Client indemnifies JB Sites against any third-party claims arising from Client-provided content.
Section 06
Cancellation & Refund Policy
All deposits are non-refundable. If Client cancels a project after work has commenced, the following applies:
- Cancellation before 25% project completion: Client forfeits the deposit only. No further amounts are owed.
- Cancellation between 25% and 75% completion: Client owes 75% of the total project fee. Any amount paid beyond this will be refunded.
- Cancellation after 75% completion: Client owes 100% of the total project fee. No refund will be issued.
JB Sites may terminate a project with 7 days' written notice if Client is in material breach of these Terms, including non-payment. In such event, Client shall pay for all work completed to date at the hourly rate of $75/hour.
Section 07
Limitation of Liability & Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JB SITES' TOTAL LIABILITY TO CLIENT FOR ANY CLAIMS ARISING FROM OR RELATED TO SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY CLIENT TO JB SITES IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
JB SITES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, EVEN IF JB SITES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
JB Sites does not guarantee specific search engine rankings, traffic numbers, conversion rates, or business outcomes as a result of its Services. Results depend on many factors outside JB Sites' control.
Section 08
Confidentiality
Both parties agree to keep confidential all non-public information exchanged in connection with a project, including business strategies, technical specifications, pricing, and client data. This obligation survives termination of the agreement for a period of two (2) years.
JB Sites will not disclose Client's project details, business information, or personal data to third parties without Client's written consent, except as required by law or court order.
Section 09
Privacy Policy & Data Collection
JB Sites collects the following information from Clients for the purpose of providing Services and communicating about projects:
- Full name, email address, and phone number
- Business name and website information
- Project details and communications
- Payment information (processed by third-party payment processors; JB Sites does not store card details)
- Google account profile data (when you sign in with Google), including name, email, and profile photo
JB Sites does not sell, rent, or share Client personal data with third parties for marketing purposes. Data is used solely to provide Services, send project communications, and improve the JB Sites experience. Client data is stored securely and retained for a period of 3 years after project completion, after which it is deleted upon request.
Clients may request deletion of their personal data by emailing hello@jbsites.com. JB Sites will comply within 30 days except where retention is required by law.
Section 10
Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions.
In the event of any dispute arising from or relating to these Terms or the Services, the parties agree to first attempt resolution through good-faith negotiation for a period of 30 days. If negotiation fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association in New York, New York, under its Commercial Arbitration Rules.
Notwithstanding the foregoing, JB Sites may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
BY SUBMITTING A QUOTE REQUEST OR MAKING ANY PAYMENT TO JB SITES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE IN THEIR ENTIRETY.
